Consorto Introducer Agreement


CONSORTO B.V., a company with a registered address of Keizersgracht 391 A, Amsterdam, The Netherlands, hereinafter, together with all subsidiary and affiliated companies, referred to as (“Consorto”); and

Consorto Registered User (''CRU'')

Consorto Registered Lead (''CRL'')


  1. Consorto is in the business of managing an online marketplace for buying and selling commercial real estate in Europe and connecting registered users; and
  2. CRU is acting as owner or authorized broker/representative for the owner of commercial real estate in Europe; and
  3. Consorto and CRU wish to enter into an agreement pursuant to which Consorto will introduce prospect buyers or buyer leads to CRU for the above mentioned Property

Obligations of Consorto

  1. Consorto shall use best efforts to introduce qualified leads to CRU.
  2. Consorto shall ensure that they have all the required contact details in order to facilitate a successful introduction.
  3. In performing its introductions, Consorto agrees that they shall: not solicit inappropriate leads, nor accept leads who they know to the involved in any illegal activity, paying special attention to money laundering.

Obligations of CRU

  1. CRU will respond to the introduced lead in a timely manner.
  2. CRU will provide all the required property related information to the lead introduced by Consorto.
  3. CRU will provide regular updates to Consorto about the deal progress.
  4. CRU will provide updates to Consorto about any other properties offered to the lead.
  5. CRU will pay Consorto a share of brokergae fees upon successful completion of the property sales transaction.

Consorto Fees*:

  • 0.10% for properties valued €100 million and above
  • 0.15 % for properties valued from €50 to €100 million
  • 0.20% for properties valued from €10 to €50 million
  • 0.25% for properties valued up to €10 million

* brokerage fees payable by CRU to Consorto for introducing Consorto Lead that results a property sales transaction

Terms and Termination

Either party has the right to terminate this Agreement immediately if the other:

  1. has committed a material breach of this agreement, unless such breach is capable of remedy, in which case the right to terminate immediately will be exercisable if the other party has failed to remedy the breach within 14 days after a written notice to do so; or
  2. becomes insolvent or is the subject of a bankruptcy order or equivalent.


  1. All disputes arising in connection with the present agreement, or further agreements resulting therefrom, shall be settled in accordance with the Arbitration Rules of the Netherlands Arbitration Institute.
  2. The arbitral tribunal shall be composed of three arbitrators.
  3. The arbitral tribunal shall be appointed according to the list procedure.
  4. The place of arbitration shall be Rotterdam.
  5. The proceedings shall be conducted in the English language.
  6. The arbitral tribunal shall decide as amiable compositeur.
  7. Consolidation of the arbitral proceedings with other arbitral proceedings, as provided for in Article 1046 of the Dutch Code of Civil Procedure and Article 39 of the Arbitration Rules of the Netherlands Arbitration Institute, is excluded.
